If these Terms conflict with a signed Service Agreement, the Service Agreement controls.

You agree to use this website only for lawful purposes. You must not attempt to gain unauthorized access to the website or related systems, scrape or harvest content or data, interfere with the website's operation, or misrepresent your identity or affiliation.
4. Intellectual Property

Deliverables produced under a Service Agreement are governed by that agreement.
5. Quotes, Billing, and Payment

Unless otherwise agreed in writing, invoices are payable in U.S. dollars within the period stated on the invoice. Late payments may accrue interest and/or result in suspension of services as provided in the Service Agreement.
6. Confidentiality
Each party may receive confidential information in connection with an engagement. Both parties agree to protect confidential information with reasonable care and to use it only for the purpose of the engagement. Specific confidentiality obligations, including NDAs, may be documented separately.
7. Disclaimers
The website is provided "as is" and "as available" without warranties of any kind, express or implied. 8. Limitation of Liability

10. Termination
We may suspend or terminate access to the website at any time, with or without cause. Engagements under a Service Agreement continue and terminate as provided in that agreement. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
11. Governing Law and Venue
These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, unless the applicable Service Agreement provides otherwise.
12. Changes to These Terms
We may revise these Terms from time to time. The current version will always be posted on this page. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
